What is a Dutch BV?
A BV (Besloten Vennootschap) is the Dutch private limited liability company. It’s the most common business entity for foreign entrepreneurs setting up in Holland and the Netherlands. Here’s how it compares to the other Dutch entity types.
BV (Besloten Vennootschap)
Private Limited Company
A separate legal entity with shareholders and limited personal liability. Minimum share capital of just €0.01. Suitable for most foreign-owned businesses.
NV (Naamloze Vennootschap)
Public Limited Company
Used for larger companies, often those planning to be publicly listed. Minimum share capital of €45,000. Most foreign-owned SMEs don’t need an NV.

Sole Proprietorship
A one-person business with no separation between personal and business assets. Available only to EU/EEA residents or those with a valid Dutch residence permit. Not suitable for non-resident foreigners.
VOF (Vennootschap Onder Firma)
General Partnership
A partnership between two or more individuals or entities. Partners are personally liable for business debts. Not commonly used by foreign entrepreneurs.

Payment & Documents
You sign our quote and make our payment. We ask you to fill in an information form and provide us with the necessary documents for start of our incorporation services. Based on your documents, we prepare the required files.
Notary Process
Once your files are ready, we refer them to a Dutch notary we work with, to make legal preparations of establishment of your company. We have the notary make the first drafts.
Incorporation
We ask you to prepare another set of documents for the notary to continue the incorporation. After receiving them, we finalize the incorporation deed at the notary and register the company with Dutch Chamber of Commerce.
Additional Services
We make sure that tax number of your company is activated and you are ready to do business. We offer services such as business address, bookkeeping, marketing and branding for your company to move forward in good shape.
How long does it take to register a company in the Netherlands?
Once documents you need to prepare are submitted, usual incorporation time is around 1-2 weeks. Peak periods at notaries or your speed to collect additional documents affect the duration.

No. You don’t need to live in or travel to the Netherlands. The incorporation process is handled remotely via power of attorney and a Dutch notary.
No. A Dutch BV can be incorporated with share capital as low as €0.01. There’s no meaningful minimum capital requirement, unlike in some other European countries.

It’s mandatory for all Dutch companies. We handle the UBO registration as part of incorporation.
Depending on bank choice, remote account opening might be possible. We offer another service to help with the bank account application once the company is incorporated.
The typical timeline is one to two weeks from the moment all documents are submitted. Delays can occur during peak periods at Dutch notaries or if additional documents are needed.
The main documents are: passport copies of all shareholders and directors, proof of address, the incorporation information form we provide, and a power of attorney for the Dutch notary. Additional documents may be required depending on your situation.
Dutch BVs pay corporate income tax at 19% on profits up to €200,000 and 25.8% above that threshold. VAT is typically 21% for most goods and services. Dividends paid to non-resident shareholders may be subject to withholding tax, depending on the applicable tax treaty.
No. There’s no requirement for a Dutch resident director. You can be the sole director of your BV regardless of where you live.
Incorporation is the legal act of creating the company through a notarial deed. Registration is the step where the new company is recorded in the Dutch Chamber of Commerce (KvK) register. Both happen as part of the standard process and we handle both steps.
It depends on your business activity. Regulated industries such as financial services, healthcare, food, and transport require specific licences. Most general business activities do not require additional permits.
Yes. A BV can be converted into an NV or restructured if your business grows. The reverse is also possible, though most businesses don’t need to convert.
